Please read these terms before creating an account or taking part in campaigns on Clipadi.

Do you make videos and run campaigns? Read those terms instead.
1. The parties
These terms are a contract between you and Mammar Digital Solutions LLP, Kavumpuram, PO Thozhuvanoor, Valanchery, Malappuram District, Kerala 676552, India (“Clipadi”, “we”). By ticking “I agree to the Terms and Conditions”, creating an account, submitting clips or receiving payouts, you accept them. You must be at least 18.
2. What Clipadi is
Clipadi is an online marketplace and technology intermediary. Creators publish campaigns asking for short clips of their content and fund a budget that pays per 1,000 verified views. Clippers make clips, post them on their own Instagram or YouTube accounts, and submit the links. Clipadi tracks public view counts, calculates earnings, holds and moves the money, and settles payouts. Clipadi does not itself provide video editing, clipping or social-media management services, is not a party to the creative relationship between a creator and a clipper, and does not guarantee any minimum views, earnings or results.
3. Your status: independent contractor
- You take part as an independent contractor or freelancer. Nothing in these terms creates an employment, agency, joint venture or partnership relationship between you and Clipadi, or between you and any creator.
- You are free to choose your own working hours, place of work, tools and editing software, and which campaigns you take part in.
- As an independent freelancer you are not entitled to minimum wage, paid leave, severance, retirement contributions, medical insurance or any other employment benefit from Clipadi or from a creator.
4. Accounts
- One account per person. Creating duplicate or throwaway accounts to get around limits or campaign restrictions is prohibited and is grounds for immediate closure of all the accounts involved.
- Keep your password private; you are responsible for activity on your account.
- Give accurate details, including a real name and a UPI ID that belongs to you.
- To submit clips you must link the social account you post from by placing a verification code in its bio. Only clips posted from linked, verified accounts count.
5. Clips and campaign rules
- Clips must be made from the campaign’s source content, follow the campaign’s rules (such as tags, mentions, length and tone), and comply with Instagram’s and YouTube’s terms. You must not mislead viewers about who made the original content.
- A clip must be submitted within 1 hour of being posted. We read the posting time from the platform when you submit; a post older than that cannot be submitted.
- Every clip is reviewed by Clipadi before it starts earning, and views are only tracked after approval.
- Clips submitted after a campaign has ended or its budget has run out are not eligible to earn.
6. Earnings and payouts
- Earnings = (verified views ÷ 1,000) × the campaign rate, once the clip has passed the campaign’s minimum view count (normally 1,000 views), and subject to any per-clip cap, any limit on how much of a budget one clipper can earn, and the remaining budget.
- Views are read from the platforms’ public counts at regular intervals; a view that the platform later removes is also removed by us. Tracking stops when the campaign ends.
- Earnings are credited to your Clipadi wallet and paid to your UPI ID on request. The minimum payout is ₹100 and payouts are processed within 3 working days of a request, as set out on the pricing page.
- Before your first payout we check your identity using your UPI ID and the details you give us. Giving your PAN is optional.
- Payouts are sent through third-party payment systems. Clipadi is not liable for delays caused by incorrect payout details supplied by you or by outages at a bank or payment provider. A payout that fails is returned to your wallet so you can correct your details and ask again.
- Clipadi does not guarantee that campaigns will always be available or that any campaign will produce a minimum level of earnings.
7. Genuine views and fraud
- Earnings are based on genuine, organic views from real people.
- You must not buy views or use, or help anyone use, bots, click farms, view generators, engagement pods, auto-scrolling software or any other coordinated inauthentic behaviour, or otherwise manipulate a platform’s algorithm artificially.
- You must not use misleading titles, bait-and-switch editing or thumbnails that do not represent the source content.
- You must not resubmit the same clip or submit content you did not post yourself.
- Clipadi may audit views using automated checks, platform data and manual review. Where artificial or fraudulent views are found or reasonably suspected, we may hold the clip’s earnings, reject the clip, reverse its earnings and freeze or close your account.
- Earnings reversed for fraud are returned to the campaign budget of the creator affected.
8. Tax
- You are responsible for tax on your earnings, including filing your own income tax returns and reporting what you earn through Clipadi under Indian law.
- We deduct TDS where required under the Income Tax Act, 1961. Giving us your PAN is optional, but without a valid PAN, tax may have to be deducted at the higher rate set by law.
- If you are registered under GST you must give us your GSTIN. If you are not registered, you confirm that your total turnover is below the level at which GST registration is compulsory.
9. Prohibited content
No campaigns or clips that are unlawful in India; that infringe copyright or trademarks; that are pornographic or sexually explicit, hateful, harassing, discriminatory, defamatory or that incite violence; that promote gambling, tobacco, illegal substances, unregulated financial products or fraudulent schemes; or that violate the platform rules of Instagram or YouTube. We may remove content and close accounts that breach this section.
10. Intellectual property
- Creators keep the rights to their source content. Each creator gives you a temporary, revocable, non-exclusive, non-transferable licence to use it only to make and publish clips for that campaign on the named platforms.
- You may not resell, license or otherwise use a creator’s content outside the campaign; repost the source content unedited; use it to train machine-learning models; or publish anything that damages or defames the creator.
- You keep the rights to the editorial work in your clips, licensed to the creator for promotional use of the campaign without any further payment.
- Clipadi’s name, logo, software and design are ours. You give us a licence to display campaign titles, thumbnails, clips and public handles within the service and in our own marketing of the platform.
11. Money handling
Payments are processed by PayU; by paying you also accept PayU’s terms. Clipadi holds campaign budgets and clipper earnings as a platform balance and is not a bank; balances do not earn interest. We may hold a payout for up to 14 days to verify views or identity where we suspect fraud.
12. Suspension and termination
- You can close your account at any time from settings or by emailing us; outstanding earnings are paid per our policies.
- We can suspend or close accounts that breach these terms, with notice where practical. We may do so immediately and without notice for fraud, copyright infringement, illegal or offensive content, harassment of creators or attempts at unauthorised access to the platform.
- The sections on earnings, fraud, tax, intellectual property, money handling, liability and governing law survive termination.
13. Liability
Clipadi is provided “as is” and “as available”. We do not promise uninterrupted availability or that view counts reported by third-party platforms are error-free. To the extent permitted by Indian law, our total liability to you for any claim is limited to the fees you paid us in the 6 months before the claim, and we are not liable for indirect, incidental, punitive or consequential loss, including loss of profits or data. Nothing limits liability for fraud or for anything that cannot be limited by law. We are not responsible for any restriction or ban placed on your Instagram or YouTube account by those platforms as a result of taking part in a campaign.
14. Governing law and disputes
These terms are governed by the laws of India. Courts at Malappuram, Kerala have exclusive jurisdiction, subject to any consumer-protection rights you have under the Consumer Protection Act, 2019. Before going to court, contact us and we will try to resolve the issue within 30 days.
15. Changes and contact
We may update these terms; material changes are emailed to registered users 7 days in advance, and the “Last updated” date at the top is changed. Continuing to use Clipadi after that means you accept the new terms. Questions: hello@clipadi.com or the contact page at clipadi.com/contact.
