Please read these terms before creating an account, buying campaign credits or launching a campaign on Clipadi.

Do you cut clips and post them? Read those terms instead.
1. The parties
These terms are a contract between you and Mammar Digital Solutions LLP, Kavumpuram, PO Thozhuvanoor, Valanchery, Malappuram District, Kerala 676552, India (“Clipadi”, “we”). By ticking “I agree to the Terms and Conditions”, creating an account, buying campaign credits or launching a campaign, you accept them. You must be at least 18 and, if acting for a company, authorised to bind it.
2. What Clipadi is
Clipadi is an online marketplace and technology intermediary. Creators publish campaigns asking for short clips of their content and fund a budget that pays per 1,000 verified views. Clippers make clips, post them on their own Instagram or YouTube accounts, and submit the links. Clipadi tracks public view counts, calculates earnings, holds and moves the money, and settles payouts. Clipadi does not itself provide video editing, clipping or social-media management services, is not a party to the creative relationship between a creator and a clipper, and does not guarantee any minimum views, earnings or results. When a clipper takes part in your campaign, they do so as an independent contractor and not as an employee or agent of Clipadi.
3. Accounts
- One account per person or business. Keep your password private; you are responsible for activity on your account.
- Give accurate details, including a real name and, where you act for a business, its correct details.
4. Fees, GST and invoices
- Clipadi charges a platform fee of 10% on each purchase of campaign credits, for access to the platform, view tracking, clip review and payment handling. The current fee is always shown on the pricing page and before you pay.
- GST (currently 18%) is charged on the platform fee only. It is not charged on the campaign credits themselves, which are passed on to clippers.
- We issue a tax invoice for the platform fee and the GST on it for every payment.
- You are responsible for working out and meeting your own tax obligations (including any TDS or reverse-charge obligations) arising from payments made to clippers through the platform.
5. Campaign credits and budgets
- Campaign budgets are pre-paid through PayU. You must hold enough campaign credits before a campaign can go live.
- When a campaign goes live, its budget is reserved from your available credits so that clippers can be paid. Budget is spent only on verified views of approved clips.
- You may pause or end a campaign at any time; earnings already accrued to clippers are still paid. When a campaign ends, its unspent budget returns to your available credits.
- Unused credits that are not reserved by a live campaign can be refunded to your original payment method on request, normally within 5–7 working days, less the refund fee (currently 5%) set out in the refund policy.
- The platform fee and GST paid when credits were bought are not refunded, unless the law requires otherwise.
- Credit balances do not earn interest.
6. Your campaigns
- You are responsible for the rate, budget, rules and source content of your campaigns. You may set rules (tags, length, tone).
- Every clip is reviewed by Clipadi before it starts earning from your budget. If you believe an approved clip breaks your rules, report it within 7 days of approval; Clipadi may reject a clip at any time.
- You must not ask for, encourage or reward artificial, bot-driven or fraudulent views.
- Clipadi may suspend or remove any campaign, without liability, if it breaches these terms, the rules of Instagram or YouTube, or Indian law.
7. Prohibited content
No campaigns or clips that are unlawful in India; that infringe copyright or trademarks; that are pornographic or sexually explicit, hateful, harassing, discriminatory, defamatory or that incite violence; that promote gambling, tobacco, illegal substances, unregulated financial products or fraudulent schemes; or that violate the platform rules of Instagram or YouTube. We may remove content and close accounts that breach this section.
8. Intellectual property
- You confirm that you own, or have the rights to license, the source content, including any video, audio, graphics and trade marks in it.
- You grant clippers a non-exclusive, revocable, royalty-free licence to make, edit and publish clips of it for the campaign on the named platforms, in line with your campaign rules.
- You keep the rights to your source content; clippers keep the rights to the editorial work in their clips, licensed to you for promotional use of the campaign.
- Clipadi’s name, logo, software and design are ours. You give us a worldwide, non-exclusive, royalty-free licence to display campaign titles, thumbnails, clips and public handles within the service, and to use your brand name, campaign statistics and public campaign materials in our own marketing of the platform and in case studies.
9. Disputes about clips
If a dispute arises between you and a clipper (for example about suspected fake views, a clip that breaks your rules, or an amount paid), Clipadi will review the data it holds and decide whether the earnings stand or are returned to your campaign budget. That decision is final as between you, the clipper and Clipadi for the purposes of the platform. Earnings reversed for fraud are returned to your campaign budget.
10. Your promises and indemnity
- You confirm that you are at least 18, or a validly registered business, with full authority to accept these terms.
- You agree to compensate Clipadi, its partners, officers, employees and agents for any claims, losses, costs or expenses (including legal fees) that arise from your breach of these terms, from any campaign you launch or content you provide, or from a claim by a third party that your campaign content infringes their copyright or trade mark.
11. Money handling
Payments are processed by PayU; by paying you also accept PayU’s terms. Clipadi holds campaign budgets and clipper earnings as a platform balance and is not a bank; balances do not earn interest. We may hold a payout for up to 14 days to verify views or identity where we suspect fraud.
12. Termination
- You can close your account at any time from settings or by emailing us; unused budget is refunded per our policies.
- We can suspend or close accounts that breach these terms, with notice where practical.
- The sections on fees, credits, intellectual property, indemnity, money handling, liability and governing law survive termination.
13. Liability
Clipadi does not guarantee that your campaign will reach any particular number of views, clicks, conversions or engagement; results depend on the social platforms’ algorithms and on the independent work of clippers. Clipadi is provided “as is” and “as available”. We do not promise uninterrupted availability or that view counts reported by third-party platforms are error-free. To the extent permitted by Indian law, our total liability to you for any claim is limited to the fees you paid us in the 6 months before the claim, and we are not liable for indirect, incidental, punitive or consequential loss, including loss of profits or data. Nothing limits liability for fraud or for anything that cannot be limited by law.
14. Governing law and disputes
These terms are governed by the laws of India. Courts at Malappuram, Kerala have exclusive jurisdiction, subject to any consumer-protection rights you have under the Consumer Protection Act, 2019. Before going to court, contact us and we will try to resolve the issue within 30 days.
15. Changes and contact
We may update these terms; material changes are emailed to registered users 7 days in advance, and the “Last updated” date at the top is changed. Continuing to use Clipadi after that means you accept the new terms. Questions: hello@clipadi.com or the contact page at clipadi.com/contact.
